1) Acceptance of Terms

By accessing or using the Service, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, do not use the Service.

If you are using the Service on behalf of an organization, you represent you have authority to bind that organization, and “you” includes that organization.

2) Eligibility and Account Responsibility

You represent that you are of legal age and have the capacity to enter into a binding contract in your jurisdiction.

You are responsible for maintaining the confidentiality of your account credentials and for all activity under your account.

3) The Service and Beta Status

The Service provides engineering calculation tools intended for professional and educational use.

Beta notice (if applicable): If the Service is labeled beta, it may contain bugs or incomplete features, may change without notice, and is provided “as is” with no guarantees of stability or completeness.

4) Engineering Responsibility and Professional Use (Non-Reliance)

The Service does not replace professional engineering judgment, independent verification, or regulatory compliance. By using the Service, you agree and understand:

Results must be independently verified by a qualified professional where appropriate (e.g., licensed engineer).
You are solely responsible for verifying inputs, units, assumptions, and outputs.
You must ensure compliance with applicable codes, standards, laws, and safety requirements.
The Service is not certified for safety-critical applications or public infrastructure use without independent validation.

5) Plans, Access, and Subscriptions (Beta-Ready)

The Service may provide different access levels (e.g., free/basic vs premium/advanced), including during beta.

Free/basic access: may provide limited functionality.
Premium/advanced access: may unlock additional features and capabilities.

If subscriptions are enabled:

Subscription availability, pricing, and features may change over time.
If payment processing is enabled, it is handled by our payment processor (e.g., Stripe). We do not store full payment card numbers in our app database.

Beta $0 subscription: If a $0 subscription plan is offered, it may still function as a subscription for entitlement and access control purposes.

Note: Specific entitlement rules should match your Pricing & Entitlements definition and in-app enforcement (kept separate from these Terms).

6) User Inputs, Outputs, and Exporting

6.1 User Inputs/Content

You may submit calculation inputs or other content to the Service (“User Inputs”). You retain ownership of your User Inputs.

You grant Melon Machina a limited, non-exclusive license to host, process, transmit, and store User Inputs solely to provide and maintain the Service and to comply with legal obligations.

6.2 Outputs

The Service may generate outputs based on your User Inputs. Outputs are provided “as is” and are subject to the disclaimers and limitation of liability in these Terms.

6.3 Export

The Service may allow you to export outputs (e.g., CSV). You are responsible for how you use and share exported files.

7) Intellectual Property and Proprietary Rights

The Service (including software, code, design, documentation, branding, logos, and other content) is owned by Melon Machina or its licensors and is protected by applicable intellectual property laws.

Except as expressly permitted, you may not copy, modify, distribute, sell, lease, or create derivative works from the Service.

8) License to Use the Service

Subject to these Terms, Melon Machina grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for lawful purposes.

You may not:

reverse engineer, decompile, or attempt to derive source code or underlying ideas from the Service;
use the Service to build a competing product or service;
use the Service or outputs to train competing machine learning models without written consent;
remove or alter proprietary notices or disclaimers;
use the Service in high-risk environments where failure could result in death or serious injury (e.g., aviation, nuclear, medical devices).

9) Prohibited Conduct

You agree not to:

violate any law;
interfere with or disrupt the Service;
attempt to bypass security measures or access controls;
scrape, harvest, or systematically download content or data except as expressly permitted;
upload malware or harmful code.

We may suspend or terminate accounts for violations.

10) Third-Party Services and Dependencies

The Service may rely on third-party services (e.g., hosting, platform services, payment processors). We are not responsible for third-party services beyond our reasonable control.

Your use of third-party services may be governed by their own terms and policies.

11) Privacy

Your use of the Service is subject to our Privacy Policy:

If there is a conflict between these Terms and the Privacy Policy regarding personal data, the Privacy Policy governs.

12) Updates and Modifications

We may update the Service and these Terms from time to time.

If we make material changes, we may provide notice in the Service and require you to accept the updated Terms as a condition of continued use. Continued use after changes (and acceptance where required) constitutes agreement to the updated Terms.

13) Disclaimer of Warranties

TO THE FULLEST EXTENT PERMITTED BY LAW, THE SERVICE AND ALL OUTPUTS ARE PROVIDED “AS IS” AND “AS AVAILABLE,” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the Service will be uninterrupted, secure, or error-free, or that outputs will be accurate or suitable for any particular use.

14) Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, MELON MACHINA WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE.

TO THE FULLEST EXTENT PERMITTED BY LAW, MELON MACHINA’S TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE WILL NOT EXCEED THE AMOUNT YOU PAID (IF ANY) FOR THE SERVICE IN THE TWELVE (12) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM.

15) Indemnification

You agree to indemnify and hold harmless Melon Machina and its affiliates, officers, employees, and licensors from and against claims, damages, liabilities, and expenses (including reasonable attorneys’ fees) arising out of:

your use of the Service,
your violation of these Terms,
your violation of applicable law, or
your infringement of third-party rights.

16) Termination

We may suspend or terminate your access to the Service at any time for violations of these Terms or for security/operational reasons.

Upon termination:

your license ends,
you must stop using the Service,
we may delete or retain certain data as described in the Privacy Policy.

17) Export Controls

You may not use or export the Service except as authorized by applicable law, including U.S. export control laws and regulations.

18) Governing Law and Jurisdiction

These Terms are governed by the laws of the State of Texas, without regard to conflict of law principles.

You agree that any dispute arising out of or relating to these Terms or the Service will be brought in the state or federal courts located in Texas, and you consent to their jurisdiction.

19) Severability

If any provision of these Terms is held invalid or unenforceable, the remaining provisions will remain in effect.

20) Entire Agreement

These Terms, together with the Privacy Policy and any referenced policies, constitute the entire agreement between you and Melon Machina regarding the Service and supersede prior agreements relating to the Service.
